Welcome to CutForge. These Terms of Use ("Terms") are an agreement between you and [CutForge legal entity name] ("CutForge", "we", "us" or "our") and govern your access to and use of the CutForge website at cutforge.ai, our studio, and all related tools, features, APIs and services we make available (together, the "Service").

Please read these Terms carefully. By creating an account, clicking to accept, or otherwise accessing or using the Service, you confirm that you have read and agree to these Terms and to our Privacy Policy and Cookie Notice, which are part of this agreement. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or team, you confirm that you are authorized to accept these Terms on its behalf.

You must be at least 18 years old, or the age of legal majority where you live, to use the Service.

1. The Service & your licence

CutForge is an AI-assisted content platform. Depending on your plan, it lets you turn long videos into short vertical clips (Auto-Shorts), edit clips in a browser editor, generate faceless videos from an idea, generate and upscale images through third-party AI models, add subtitles, and schedule social posts. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for your own personal or internal business purposes.

The Service is evolving. We may add, change, or remove features, set or adjust limits (for example on file size, processing time, render queue priority, or API requests), and release updates at any time. We may do this with or without notice, except where these Terms or the law say otherwise.

2. Accounts

To use most features you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for everything that happens under your account and for keeping your credentials secure. Do not share your account, create an account using a false identity, or open an account if we have previously suspended or banned you. Tell us right away at support@cutforge.ai if you believe your account has been used without your permission. You do not own your account; all rights in it remain with us.

3. Credits, plans & billing

The Service runs on a credit (token) system. Generations, renders, upscales and similar actions consume credits, and the amount depends on the action and the AI model you choose. Some premium models are limited by a monthly "Pro Generations" cap that depends on your plan. We may change credit prices, the cost of any action, plan contents, and caps at any time at our discretion. Credits are prepaid, have no cash value, are non-transferable, and are forfeited when your account is cancelled, except where the law requires otherwise. Promotional or bonus credits may expire and carry the conditions shown when they are granted.

You authorize us and our third-party payment processor to charge your selected payment method for all fees due. Payment information is collected and processed by our payment processor, not stored by CutForge directly, and is subject to the processor's own terms and privacy policy. If a charge fails, we may suspend or limit your access until payment is received.

4. Subscriptions & automatic renewal

If you buy a subscription, it renews automatically. Unless you cancel before the end of the current period, your subscription renews for another period of the same length at the then-current price, and your payment method is charged at the start of each new period. You can change or cancel your subscription in your account settings or by contacting support@cutforge.ai from your account email. If you cancel, you keep access until the end of the current period and it will not renew after that. We may notify you of a price change before it takes effect; if you do not agree, you may cancel.

5. Refunds

Except where required by law or expressly stated otherwise, fees are non-refundable and we do not provide refunds or credits for partial periods, unused credits, or downgrades. Where the law in your location gives you a refund right, we will honour it. Any discount (such as a welcome offer or task reward) applies only while it is active, is single-use unless stated otherwise, and cannot be combined unless we say so.

6. Your content

"Your Content" means anything you upload, enter, or otherwise provide through the Service, including source videos, reference images, prompts, text and audio. You are solely responsible for Your Content. You confirm that you own it or have all rights and permissions needed to use it and to grant the licence below, and that it does not infringe anyone's rights or break any law.

You keep ownership of Your Content. You grant CutForge a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt and display Your Content solely as needed to operate and provide the Service to you (for example, to render your clips, generate outputs, create posters, and back up your work). We have no obligation to store Your Content and may apply reasonable storage limits; unfavourited clips and uploaded sources may be deleted automatically after a retention period shown in the app.

7. AI inputs & outputs

The Service uses artificial intelligence and third-party AI models to process what you provide ("Inputs") and produce results such as clips, videos, images, subtitles and metadata ("Outputs"). We do not claim ownership of your Inputs or Outputs, and we do not restrict your commercial use of Outputs, subject to these Terms and any limits imposed by the underlying model providers.

AI is not perfect. Outputs are generated automatically and may be inaccurate, may resemble existing works, or may not suit your purpose. You are responsible for reviewing Outputs before you use, publish or rely on them, including for compliance with the law and third-party rights. We make no guarantee about the originality, accuracy, or fitness of any Output and disclaim liability arising from them.

8. Acceptable use

When using the Service, you agree that you will not, and will not allow anyone else to:

9. Connected accounts & third-party services

Some features let you connect third-party accounts (for example, signing in with Google, or connecting YouTube to schedule posts). When you connect such an account you confirm you are entitled to do so, and you authorize us to access and use the connected account as needed to provide the feature. Third-party services, including payment processing and AI model providers, are governed by their own terms and privacy policies, and we are not responsible for them or for any service they decide to change, suspend, or discontinue.

10. Referrals & rewards

We may offer referral, onboarding, and reward programs that grant credits, discounts, or commissions. These programs are optional, may change or end at any time, and are subject to any specific rules we publish, including eligibility and anti-abuse rules. We may withhold or reverse rewards we reasonably believe were obtained through fraud, self-referral, or abuse.

11. Our intellectual property

Except for Your Content and your Outputs, the Service and everything in it — including software, code, designs, templates, style libraries, text, graphics, logos and trademarks — is owned by CutForge or its licensors and is protected by law. We grant you no rights in it except the limited licence in Section 1. Do not remove or alter any proprietary notices. We welcome feedback, and you agree we may use any feedback you send without restriction or compensation.

12. Moderation & suspension

We may, but are not required to, review, monitor, refuse, or remove content and Outputs, and we may suspend or limit access to the Service, at any time and at our discretion, including where we believe content or conduct violates these Terms, infringes rights, harms others, or could create liability for us. You have no expectation of privacy in content transmitted through the Service for the purpose of these moderation activities.

13. Disclaimers

To the fullest extent permitted by law, the Service and all Outputs are provided "as is" and "as available", with all faults and without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that Outputs will be accurate or reliable. Beta or experimental features are provided without any warranty and may change or be withdrawn at any time. You use the Service at your own risk.

14. Limitation of liability

To the fullest extent permitted by law, CutForge and its affiliates, officers, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility. To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the three months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold CutForge and its affiliates harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of Your Content or Outputs, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time if you breach these Terms, if required by law, or otherwise on reasonable notice. When access ends, your licence to use the Service ends and we may delete Your Content, subject to our retention practices. Sections that by their nature should survive termination — including ownership, licences granted to us, disclaimers, limitation of liability, and indemnification — will survive.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you (for example by email or in the app). Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

18. Governing law & disputes

These Terms are governed by the laws of [your governing-law jurisdiction], without regard to conflict-of-law rules. The parties agree to first try to resolve any dispute informally by contacting support@cutforge.ai. Any dispute that cannot be resolved informally will be handled in the courts or by the dispute-resolution mechanism specified for [your jurisdiction].
